Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Venues Quarterly website, directory, and request-for-proposal ("RFP") platform located at www.venuesquarterly.com (the "Platform"), owned and operated by O2D Media Inc. ("O2D Media," "we," "us," or "our").
By accessing or using the Platform, you agree to be bound by these Terms.
1. Platform Services
Venues Quarterly provides an online directory of venues and related service providers and facilitates the submission and distribution of RFPs between users and listed businesses. O2D Media is not a party to any agreement, transaction, booking, or arrangement between users and venue providers.
2. User Content and Listings
Users and advertisers are solely responsible for the accuracy, legality, completeness, and currency of any information, listings, RFPs, reviews, images, or other content submitted to the Platform.
By submitting content, you grant O2D Media a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute such content in connection with operating and promoting the Platform.
3. No Endorsement or Verification
O2D Media does not verify, endorse, guarantee, or warrant the accuracy, quality, availability, licensing, insurance status, suitability, or performance of any venue, supplier, advertiser, or user listed on the Platform.
Users are solely responsible for conducting their own due diligence before entering into any agreement.
4. Acceptable Use
You agree not to:
- Submit false, misleading, unlawful, defamatory, or infringing content;
- Use the Platform for spam, unsolicited marketing, or fraudulent activity;
- Interfere with the operation, security, or functionality of the Platform;
- Copy, scrape, reproduce, or commercially exploit Platform content without written permission.
We reserve the right to remove content, suspend accounts, or terminate access at our sole discretion.
5. Intellectual Property
All Platform content, trademarks, branding, software, designs, and materials, excluding user-submitted content, are the property of O2D Media Inc. and are protected by applicable intellectual property laws.
6. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis. O2D Media makes no representations or warranties of any kind regarding the Platform, its availability, accuracy, reliability, or fitness for any particular purpose.
7. Limitation of Liability
To the fullest extent permitted by law, O2D Media Inc., its directors, officers, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or economic damages arising from or relating to:
- Use of or inability to use the Platform;
- Listings, RFPs, communications, transactions, bookings, or services provided by third parties;
- Errors, omissions, interruptions, data loss, or unauthorized access.
In all circumstances, O2D Media's total liability shall not exceed the amount paid by the user to O2D Media during the twelve (12) months preceding the claim, or CAD $100 if no fees were paid.
8. Indemnification
You agree to indemnify and hold harmless O2D Media Inc., its directors, officers, employees, and affiliates from any claims, losses, damages, liabilities, costs, or expenses arising from your use of the Platform, your content, or your violation of these Terms.
9. Privacy
Your use of the Platform is also governed by our Privacy Policy, which forms part of these Terms.
10. Modifications
O2D Media may modify these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
11. Governing Law
These Terms shall be governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any dispute shall be subject to the exclusive jurisdiction of the courts of British Columbia.
